Specific Skills:Two 2 years of experience representing lenders and borrowers in domestic and crossborder finance transactions, including assetbased lending, term loan facilities, revolving credit facilities, letter of credit facilities, debtorinpossession financing and acquisition financing. Prior experience must include at least two 2 years of experience drafting security agreements, legal opinions, certificates and resolutions; performing research on credit agreement precedent language, using Xtract Research, LSTA, LMA, Lexis Securities Mosaic and Practical Law Comprehensive Deal Database platforms; assisting in government enforcement, financial institution, litigation, MA, and real estate practices involving Chinese, Taiwanese and Hong Kong legal jurisdictions; drafting collateral access agreements, deposit account control agreements, and related documentation; performing research on lenders and borrowers compliance obligations under loan facilities, including postclosing obligations; and compiling financial covenant exhibits and schedules for loan documents.
