This position requires experience with the following corporate finance and accounting; public company takeover defense; executing acquisitions and sales of private and public companies, leveraged buyouts, joint ventures, divestitures and carveouts, and spinoffs; designing and analyzing mergers and acquisitions MA transaction structures, incorporating legal structuring and tax aspects; participating in all aspects of execution for buyside, sellside, and structured MA transactions, including leveraging industry and product knowledge on debt capital markets, equity capital markets, and corporate finance advisory to represent clients interests during MA transactions, coordinating dataroom information exchange, and interacting with clients and third parties in consulting, accounting, legal, banking, and public relations; drafting and reviewing nondisclosure agreements, term sheets, offer letters, stock purchase agreements, financing agreements, and fairness opinions; preparing marketing materials, including teasers, information memoranda, management presentations, and investor relations presentations, as part of a sale transaction; assessing ratings implications in MA transactions and pro forma impact on shareholder base; working with clients on MA financing solutions, including revolving credit facilities, bridge loans, term loans, highyield, convertible bonds, assetbacked products, private placements, and rights issues; building financial models, including threestatement operating models, threestatement merger models, spinoff and divestiture models, multidriverbased operating models, netoperatingloss rollforward models, and merger consideration distribution models; performing MA analyses, including intrinsic value creation analysis, marketbased value creation analysis, exchange ratio analysis, contribution analysis, abilitytopay analysis, analysis at various prices, internal rate of return analysis, and synergy valuation analysis; financial modeling, valuation, and analytics, including dividend discount models DDMs, adjusted present value, economic value added EVA, present value of future stock prices, discounted cash flow DCF, leverage buyout LBO, trading comparables, precedent transactions, accretiondilution, sumoftheparts, and discount rate analysis; and financial market data tools, including Bloomberg, FactSet, ThomsonOne, SharkRepellant, Intralinks, Datasite, Alacra, ArbJournal, and BlackBerry Works.
