Experience must include Conducting legal research, drafting legal memoranda, and performing due diligence to support in advising investment banks, hedge funds, investment managers, and private equity firms on structured finance, project finance and leveraged finance transactions; drafting legal agreements in the context of financing transactions; conducting legal research in the areas of banking and financial regulations, including on derivatives regulation, change of control requirements for regulated entities in the context of mergers and acquisitions, Volcker Rule, risk retention requirement to clients, including investment banks, hedge funds, investment managers, private equity funds, corporate entities and other financial institutions; and participating in the structuring of bespoke transactions with a particular focus on total return swaps, including in the context of the financing of CLO warehouses, derivativesbased financing, repackaging transactions and securitizations.
