Must have five 5 years of experience drafting and negotiating key transaction documents relating to bank financing transactions; reviewing and implementing loan financing concepts into commercial terms in the transaction documents for the financing or acquisition of companies; representing lenders and borrowers in a broad range of domestic and crossborder finance transactions, including leveraged finance, acquisition financings, assetbased finance, restructurings and commercial lending; drafting, reviewing and negotiating documentation for finance transactions, including commitment letters, term sheets, credit agreements, security agreements, legal opinions and intercreditor agreements; drafting, reviewing and negotiating specialized documentation for sponsorbacked finance processes relating to the acquisition of both private and public companies; managing all aspects of execution of finance transactions, including client interaction, coordinating with foreign counsels and other client advisors, and attending to completion of closing conditions; ability to identify and mitigate legal and commercial issues for clients; assisting clients with the documentation and negotiation of customized finance transactions, including intercompany loan arrangements for corporate clients; advising U.S. and international corporations and financial institutions during all phases of bank financing transactions including initial structuring and preparation of operational documents, and ongoing compliance matters.
