Specific Skills:Must have a Juris Doctor JD Degree or a Master of Law LLM Degree, or foreign equivalent, in Law. Must be admitted to practice law in the State of New York. Must have five years of experience in corporate transactional practice. The five years of experience must include experience with private equity transactions; commercial contracts; private equity portfolio company legal matters; financing transactions; cross border transactional work; executive compensation and labor matters; intellectual property matters; and transaction related dispute resolution. Representation for private equity clients should encompass various merger and acquisition transactions, including middle market and large cap buyouts, PIPEs, and advising clients on IPO transactions and going private transactions; drafting and negotiating private equity transaction documents, including purchase agreements, stockholder agreements, partnership agreements, limited liability company operating agreements, guarantees and commitment letters, supply agreements, transition services agreements and joint ventures agreements; advising on labor, benefits, compliance and intellectual property issues and dispute resolution relating to transactions; and providing assistance to private equity portfolio companies on dispute resolution, corporate matters, anticorruption and other compliance matters, equity incentive plans and award agreements. Must travel 8 domestically and 3 internationally.
