Specific Skills:JD, LLM or foreign equivalent degree plus 5 years of experience in position offered or related occupation advising multinationalcorporate clients doing business in Latin America and the U.S., including structuring and implementing crossborder transactions. Must have 5 years of experience in Corporate transactions with an emphasis on crossborder MA, public and private securities, corporate restructuring, private equity and venture capital investments; Drafting finance transaction documents including credit and loan agreements, security agreements, and legal opinions; Performing and coordinating due diligence review and leading closings; Drafting limited liability agreements, operation agreements, corporate resolutions, regulatory documents and lease agreements; Drafting shareholder agreements and purchase and service agreements; Drafting confidentiality and exclusivity agreements, letters of intent and memorandums of understanding; Preparing and analyzing English and Spanish corporate transactional documents, agreements and regulations; and Assisting clients in transactions that require understanding of and dealing with civil corporate law in Latin America, and coordinating with local counsel advising clients on Latin America law. Must be fluent written and spoken in Spanish to read complex corporate documents and prepare legal summaries from Spanish language documents, and prepare Spanish language summaries for clients. Must be available for travel to Latin America for 12 weeks every 23 months.
