Specific Skills:This position requires three 3 years of experience in the following performing financial modeling and analyses pertaining to both US and crossborder MA including building detailed financial operating models, 3statement combination and divestiture models, discounted cash flow valuations, present value of future stock prices, precedent transactions, trading comparables, LBO analyses, intrinsic and marketbased value creation analysis, and accretion and dilution analysis; executing the MA transactions including acquisition and sale of both U.S. and nonU.S. private and public companies; divestiture of a division, spinoff, and other corporate restructuring; conducting transactions involving PE funds, and both cash and stock consideration; preparing and delivering fairness opinion analyses for clients including related procedures and drafting proxy disclosures; executing US or crossborder MA transactions in an investment bank within several sectors including Diversified Industrials, Media, Telecom, Healthcare and Real Estate; advising clients on Corporate Defense assignments against Activist Investors; conducting financial statement analysis, due diligence for buyside and sellside MA transactions, and transaction structuring; and Microsoft Excel, Word, PowerPoint and FactSet.
