Constructing highly complex financial models and performing valuation analyses, including value creation and scenario planning, leveraged buyout LBO, discounted cash flow DCF, sumoftheparts SOTP, business combinationseparation, accretiondilution, ability to pay, capital structure, pro forma impact, comparable companies, internal rate of return IRR and precedent transactions analyses. Building multifaceted financial models utilizing market research and analytical tools, such as Factset, Bloomberg, and Thomson One; managing virtual online datarooms for MA transactions utilizing platforms such as Intralinks, Merrill DataSite, and Donnelley Financial Solutions. Analyze financial markets, industry dynamics, regulatory, economic and other information to prepare materials to synthesize underlying industry trends, develop recommendations, and draw conclusions for technology clients; Conducting negotiations and communication tactics analyses; creation of fairness opinion valuation materials; managing highly complex sell and buyside processes involving cash and stockbased instruments; receiving, comparing and strategizing with management teams regarding acquisition bids and preparing board, shareholder and investor presentations; consulting with accountants and lawyers to conduct accounting and legal due diligence; and MA advisory experience working with complex deal structures and international corporate transactions in excess of 4 billion within the technology sector.br br Employer will accept any suitable combination of education, training and experience.
